Understanding corporate governance reform and the forthcoming compliance requirements of NASDAQ and other exchanges is critical to existing publicly traded companies as well as private companies exploring a public listing. This presentation will provide greater insight and clarification to NASDAQ's corporate governance reform and its parallels with the reforms of other markets.

It’s always important for board members to have a good understanding of the regulatory environment. This session with the Chairman of the FDIC will provide both board members and senior management with the latest on the priorities of the FDIC.  Don’t miss an opportunity to hear “straight from the top” about changes in the works, such as regulatory reform, and his view on the job of a bank director.  A former bank CEO from a community bank in Texas, he has implemented a number of major changes at the FDIC during his tenure.  His candid remarks always provide outstanding insights.

"Doing the Right Things Right"
Dr. Douglas V. Austin, Chairman/CEO, Austin Financial Services, Inc.

Presentation

In today’s environment of corporate criticism, director diatribe, and CEO character assassination, Dr. Austin presents for the Western Independent Bankers board of directors’ seminar, how to do the right things right as a director of your financial institution. Addressing corporate governance not as a legal issue, but as a best practices on how corporate governance can be accomplished appropriately, productively and more effectively, Dr. Austin will discuss separating the position of chairman from that of the CEO, the composition of the nomination, compensation and audit committees, independence of the board of directors, and the utilization of a financial expert.

Utilizing board and committee charters, best practices are outlined, including items such as executive sessions (without the CEO being present), director and management succession. Dr. Austin will discuss how to select a board chairman, recruit and retain a new president/CEO, and what the board expects from the president and vice verse. He recommends revision of board committees, including the elimination of the executive committee. Making sure you do the right things will assist your financial institution in having the right things right.

"Strategic Planning - The Role of the Board"

The strategic planning function should be a key element of good governance. However, it is an area that has been sorely neglected by the banking industry. This session will focus on how directors should be involved in this ever-more essential process from three distinct viewpoints:

  • How to ensure that an effective strategic planning process is in
    place;
  • How to monitor the ongoing performance of that process thereby
    fulfilling the boards oversight responsibilities;
  • How and when to become directly involved in the process in
    order to provide the strategic guidance that is inherent in quality
    governance.

"The U.S. Economy in 2004-2005: An Economic
Overview"

Dr. Edmond J. Seifried, a nationally recognized speaker on economic issues and forecasting techniques, provides a unique and simplified approach that will enable you to navigate through the confusing maze of published economic indicators and financial new releases. His presentation provides direction on just how to recognize key economic signals and prepare strategies to cope with the changing economic environment. His remarks will focus on the U.S. economic prospects for 2004 and beyond. 

Professor Seifried will attempt to make sense of and discuss the following: 

  • The March 2001 Recession officially ended November 2001.  The economy is now in the recovery phase of the business cycle.  Why doesn’t it feel like it?

  • What is the status of the recovery from this recession? 

  • Interest rate outlook:  The “dry ammo” and “operation twist” theories will be discussed and explored.

  • Can the stock market recover completely from its 2001-2002 collapse?  The outlook?

  • The latest changes in the economic indicators.
