Director education is one of
our core competencies, so we’re pleased by the response to this newsletter. We’re excited that our authors are all specialists who know the
independent bank environment and are providing you with some insights into your
challenging role as a bank director.
If you haven’t considered
combining director education with a family vacation perhaps now is the time to
look at our 7-day cruise to
Alaska
in late August. We already have 50 people signed up. As a director or
banker, you can select from several options. If you’d like to have a minimal
amount of training and just some good ol' fashioned peer group interaction, you
can register for just the two 1½ hour peer sessions. Or, you can select two days of training on the role of director, planning
and a better understanding of the bank’s financial statements. I’m staffing this event, and hope to share some great adventures with
you.

of the organizations risk profile; as well as appointing or hiring a chief risk

SEC’s
Proposed Rule Changes To Executive Compensation Disclosure By John Stuart
& Ken Moore, Reitner, Stuart & Moore
The SEC’s proposed rule changes to executive
compensation disclosure take a different spin, and compensation committees need
to do some advanced thinking about how to deal with the disclosure and the
transparency they provide. While the regulations will only technically
apply to “registered” companies, it is likely that these disclosures will
soon become “best practices” for everyone.
